PROMOTION OVERVIEW: All eligible Caesars Palace Online Casino mobile or online account holders can participate in the $5,000,000 Palace Prize Fest promotion. Promotion is sponsored by William Hill U.S. HoldCo, Inc. (“Caesars”).
1. Offer Description:
• Eight-week promotion in which players can participate in leaderboard contests and drawings to win casino bonus prizes and a Palace Prize Ball, which grants entry into the grand finale drawing event.
• Players can participate using a Caesars Palace Online Casino mobile or online account.
2. Promotion Dates:
• November 20, 2025 – January 11, 2026, from 12:01 AM ET to 11:59 PM ET (“Promotion Period”).
3. Eligible Participants:
• To be eligible for the offer, players must:
o Have successfully opened a Caesars Palace Online Casino mobile or online account in the state of Pennsylvania during the Promotion Period and be approved for real money play.
o Be 21 years of age or older.
o Be physically present in Pennsylvania when wagering.

4. Required Action:

o PLAY REQUIREMENT: After opt-in, players will receive one (1) leaderboard point for every $5 wagered on the Weekly Eligible Games for that period.
o Every wager must earn at least 0.01 point to be added to the score.
o Players must earn at least 1 leaderboard point to be eligible for a prize.
o Players will be ranked on a shared leaderboard at the end of the Promotion Period according to points earned.
o Final Standings on the History Tab may not always reflect actual Final Standings in certain cases. In these cases, players will be contacted directly with their Final Standings at the end of the Promotion Period.
o If there is any interruption or disruption resulting in the need to end this promotion before the intended end time, any players who opted in to the leaderboard and wagered at least the minimum about required to earn 1 point, will be considered eligible to receive a prize.
o Eligible players will be ranked according to their a) qualifying wagers in the case of a wager-based leaderboard OR b) qualifying win amount in the case of a win-based leaderboard, from the time of opt-in to the time the promotion was discontinued and will be credited according to the leaderboard prize table.
o In the event of a system issue resulting in incorrect tabulation of scores, Caesars may manually recalculate scores outside of the leaderboard program to produce accurate rankings; these recalculated rankings may not match the scores displayed on the leaderboard itself.
o Prizes will be awarded in the form of a casino bonus and will be distributed to the top 200 ranked players according to the table below:

o PLAY REQUIREMENT: To participate, players must earn a minimum of one (1) Reward Credit on Weekly Eligible Games to be eligible for the multiplier.
o Only the first 1,000 base Reward Credits earned each day on Weekly Eligible Games during the Promotion Period are eligible for the multiplier.
o For the avoidance of doubt, if a player earns 100 base Reward Credits, that player will be awarded an additional 400 bonus Reward Credits for a total of 500 Reward Credits.
o The maximum amount of daily bonus Reward Credits that can be earned is 4,000.
o If a player earns 1,000 or more base Reward Credits, the player will only be awarded the daily maximum of 4,000 bonus Reward Credits (5,000 Reward Credits in total).
o Bonus Reward Credits will be credited to players’ Caesars Rewards accounts within 30 days after the Promotion Period ends.
o The offer can be redeemed once per Promotion Day during the Promotion Period.
o Players must have an active Caesars Rewards account linked to their Caesars Palace Online account prior to the conclusion of each earning period to receive bonus Rewards Credits earned.
5. FINAL PALACE PRIZE BALL DRAWING:
• All players who received at least one Palace Prize Ball will be eligible for the Grand Finale prize drawing.
• Each Palace Prize Ball awarded will be numbered between 1 (One) and 25 (Twenty-Five).
• The drawing is scheduled to take place on January 15, 2026, and the winners will be announced on January 19, 2026.
o In the event that the drawing cannot be conducted as scheduled due to circumstances beyond Caesars reasonable control, Caesars reserves the right to reschedule the drawing and announcement of winners to January 22, 2026. Caesars shall not be liable for any delays caused by such circumstances.
• Each of the 25 Prize Balls will be physically placed in a drawing drum and drawn at random, one at a time.
• Players may win more than once during the Promotion Period.
• Palace Prize Balls will be drawn in reverse order:
o The FIRST Palace Prize Ball drawn receives the 25th place prize.
o The LAST Palace Prize Ball drawn receives the 1st place prize.

• Caesars shall not be held liable for any delay or failure to perform any part of the drawing process due to circumstances beyond its reasonable control, including but not limited to acts interruptions in internet or telecommunications services. In such cases, Caesars reserves the right to reschedule, modify, or cancel the drawing at its sole discretion.
• Caesars may announce the names and hometowns of winners during the drawing, and a video recording of the drawing may be posted online. By participating in the Palace Prize Ball Drawing, participants consent to the use of their names and hometowns within this recording or as otherwise posted online.
• Casino Bonuses:
o Casino Bonuses will be loaded to the winners’ accounts within 5 business days after the Promotion Period.
• If, at the end of the Promotion Period, the total value of all prizes and bonuses distributed is less than $5,000,000, Caesars will conduct additional promotions at its sole discretion to award additional prizes or bonuses that bring the total cumulative value of all bonuses and prizes distributed to at least $5,000,000.

7. Limitations:
• Casino Bonus prizes may not be redeemed for cash.
• Prizes are non-transferable, and no substitutions will be made at Caesars’ sole discretion.
• Caesars reserves the right to modify, suspend, or cancel the promotion at any time without prior notice.
• Any attempt to manipulate or abuse the promotion will result in disqualification.
• All decisions made by Caesars regarding this promotion are final.

• Unless prohibited by law, players consent and agree to allow Caesars Palace Online the unconditional use of their name, voice, likeness, and story for any promotions, advertising, and announcements without compensation, consideration, notice, review, or approval.
• Any applicable taxes, fees, and gratuities are the responsibility of the winner.
• Winners must verify 1099 information and complete a W-9 tax form as a condition of accepting any prize that brings the prize total to more than $600.
• Any player found to be abusing the promotion rules or tampering with the promotion in any way may be disqualified and declared ineligible for any prize.
• Participation in this promotion constitutes the player’s agreement to abide by the rules of this promotion and the decisions of the management.

8. Wagering Requirements:
i. All Bonus Funds associated with the above promotion are subject to Caesars’ discretion and all terms and conditions. Players can review the specific wagering requirements for each event by referring to the event details provided in the promotion overview or by visiting the official Caesars Rewards website or mobile app.
ii. You must wager a minimum amount within 14 days of opting in to release the Bonus to your available cash balance (the “Wagering Requirement”). The exact amount of the wagering requirement for your bonus will depend on the size of your bonus and how you won the prize. Wagering Requirements are as follows:
a. 15X; select slot games listed on the marketing materials;
- As an example, if you received a $20 bonus, and only play slots, you will have to wager a total of $300 ($20 x 15) within 14 days to release your bonus.
iii. This bonus may be claimed on the Caesars Palace Online Casino, Caesars Sportsbook & Casino, or Horseshoe Online Casino service and casino wagers on the Caesars Palace Online Casino, Caesars Sportsbook & Casino, or Horseshoe Online Casino services will count towards the minimum wagering requirements above.
iv. Wagers on sports and other events will not count towards the Wagering Requirement.

vi. If you do not meet the minimum Wagering Requirement within 14 days of opting in, the bonus will be forfeited. No partial bonuses will be awarded.

9. Order of funds used for wagering:
• While any bonus is active, wagers will first be deducted from your cash balance tied to the bonus. If there is no cash tied to the bonus available, the wagers will be deducted from your bonus balance. Cash that isn’t tied to any bonus funds will only be used if the cash tied to a bonus and bonus balance are both at zero. Any amounts won using cash that is tied to a bonus and / or winnings from the use of bonus funds will be credited to the bonus balance and not your cash balance. 22. Wagering Requirements
o All Bonus Funds associated with the above promotion are subject to Caesars' discretion and all terms and conditions.
i. You must wager a minimum amount within 14 days of opting in to release the Bonus to your available cash balance (the “Wagering Requirement”). The exact amount of the wagering requirement for your bonus will depend on the size of your bonus and how you won the prize. Wagering Requirements are as follows:

5. FINAL PALACE PRIZE BALL DRAWING:
• All players who received at least one Palace Prize Ball will be eligible for the Grand Finale prize drawing.

• On or before January 30, 2026, Caesars will conduct the Grand Finale drawing to award Casino Bonus prizes between $5,000 and $100,000 to the eligible Palace Prize Ball recipients.

8. Wagering Requirements
o All Bonus Funds associated with the above promotion are subject to Caesars' discretion and all terms and conditions.
i. You must wager a minimum amount within 14 days of opting in to release the Bonus to your available cash balance (the “Wagering Requirement”). The exact amount of the wagering requirement for your bonus will depend on the size of your bonus and how you won the prize. Wagering Requirements are as follows:
a. For bonuses awarded during the Palace Prize Ball Drawing: $5,000; and
b. For all other bonuses, 15X the bonus amount on select slot games listed on the marketing materials;
- As an example, if you received a $20 bonus, and only play slots, you will have to wager a total of $300 ($20 x 15) within 14 days to release your bonus.
ii. 9. Order of funds used for wagering:
• While any bonus is active, wagers will first be deducted from your cash balance tied to the bonus. If there is no cash tied to the bonus available, the wagers will be deducted from your bonus balance. Cash that isn’t tied to any bonus funds will only be used if the cash tied to a bonus and bonus balance are both at zero. Any amounts won using cash that is tied to a bonus and / or winnings from the use of bonus funds will be credited to the bonus balance and not your cash balance. Once you’ve met the Wagering Requirement, any remaining cash tied to a bonus and / or bonus balance will be released and become fully withdrawable cash.
• In the event you have more than 1 active bonus, cash that isn’t tied to a bonus will always be the last source of wagering. Cash tied to the oldest bonus will be used first, followed by the bonus funds of the oldest bonus if the cash balance tied to that bonus is zero. If both of those balances are at zero then cash tied to the next oldest bonuses will be used, followed by the bonus funds of the next oldest bonus when that cash tied to that bonus balance is zero.
10. Eligible Games:

11. Restrictions on withdrawing funds:
• You cannot withdraw any cash that is tied to a bonus or your bonus balance prior to satisfying the Wagering Requirement without first canceling your bonus, which will result in the forfeiture of all remaining bonus balance (including any amounts won using the cash tied to a bonus or bonus funds). Once you have met the Wagering Requirement, you can withdraw any remaining bonus amount and/or any remaining funds from your deposit.
• You must have made at least one cash deposit before you can withdraw your bonus or any winnings from any wagers made using bonus funds.
• Bonuses are not transferable to any other Caesars online or mobile account, cannot be withdrawn until the Wagering Requirement has been met, and do not count towards qualifying for any other promotional offers.
12. Cancellation:
a. Player may cancel the bonus prior to satisfying wagering requirements. IMPORTANT: If you cancel your bonus before completing the Wagering Requirements, you will forfeit any deposited funds that have already been WAGERED. This includes any amounts won using the cash tied to the bonus or the bonus funds itself. See Casino Bonus FAQs for where and how to cancel a bonus.
b. In order to cash out any funds associated with any active bonus prior to completing the Wagering Requirement, the player must first cancel the bonus.
c. By cancelling the bonus from this Promotion, any bonus funds received as a result of the Deposit Match will be permanently forfeited. This includes the full amount of the initial Casino Bonus, any associated winnings and any amount of the original deposit that has been wagered.
i. For example:
a. Scenario 1 - 100% Deposit Match up to $100: Player deposits $100.00, resulting in $100.00 Casino Bonus awarded as a Deposit Match bonus. Player then plays on Slots and loses $50.00, after which the player decides to cancel this bonus. As a result of cancelling this promotion, the player’s remaining balance available for withdrawal will be $50.00, as they forfeit the full Casino Bonus of $100.00 and the $50 of their deposit that has been wagered.
b. Scenario 2 - 100% Deposit Match up to $100: Player deposits $100.00, resulting in $100.00 Casino Bonus awarded as a Deposit Match bonus.
